Acceptance of These Terms
Welcome to Remiliux (“Remiliux,” “we,” “our,” or “us”).
These Terms of Service (“Terms”) constitute a legally binding agreement between you and CKII Holdings LLC, a Wyoming limited liability company, regarding your access to and use of the Remiliux website, software, CRM platform, applications, Marketplace, features, integrations, content, APIs, automation tools, artificial intelligence functionality, and related services (collectively, the “Services”).
By creating an account, clicking an acceptance button or checkbox, subscribing to the Services, accessing the Services, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company, partnership, LLC, corporation, or other organization, you represent and warrant that you have authority to bind that organization. In that case, “you” and “your” include that organization and its authorized users.
These Terms incorporate by reference:
- The Remiliux Privacy Policy
- The Remiliux Cookie Policy
- Applicable Marketplace Rules
- Applicable subscription, order, or pricing terms
- Any additional terms presented to you when using particular features
- Any written agreement separately executed between you and CKII Holdings LLC that expressly supersedes these Terms
If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement controls to the extent of the conflict.
Definitions
For purposes of these Terms:
“Account”
Means an account registered to access the Services.
“Authorized User”
Means an employee, contractor, agent, representative, or other person authorized by a customer to access the Services under that customer’s account.
“Customer”
Means the individual or organization that subscribes to or uses the Services.
“Customer Data”
Means information, records, contacts, leads, properties, documents, communications, files, notes, transaction information, and other information submitted to or processed through the Services by or on behalf of a Customer.
“Marketplace”
Means any Remiliux feature or environment that permits approved users to discover, publish, evaluate, communicate regarding, or otherwise interact with real-estate opportunities or business relationships.
“Marketplace Content”
Means listings, property information, buyer profiles, Buy Boxes, transaction information, photographs, documents, messages, descriptions, reviews, and other content submitted or made available through the Marketplace.
“User Content”
Means information, materials, text, photographs, documents, messages, listings, reviews, data, or other content submitted by a user.
“Third-Party Services”
Means third-party websites, applications, APIs, software, telecommunications providers, payment providers, cloud providers, AI providers, email providers, calendar services, data providers, and other external services integrated with or accessed through Remiliux.
Eligibility
The Services are intended primarily for professional and commercial users, including:
- Real estate investors
- Wholesalers
- Acquisition companies
- Disposition companies
- Real estate agents and brokers
- Property professionals
- Investment companies
- Real estate teams
- Other approved business users
You must be at least eighteen (18) years old to use the Services.
By using Remiliux, you represent and warrant that:
- You are at least 18 years old
- You have legal capacity to enter into these Terms
- All information provided by you is accurate and current
- You have authority to use any business, company, property, contact, or other information submitted through the Services
- You will comply with all applicable laws and regulations
- You are not prohibited from using the Services under applicable law
- You are not using the Services for unlawful purposes
- If acting for an organization, you have authority to bind that organization
Remiliux may refuse access where permitted by applicable law.
Business and Team Accounts
Remiliux may permit customers to create team accounts.
A Customer may assign Authorized Users and may establish roles, permissions, access restrictions, and other administrative controls.
The Customer is responsible for:
- Its Authorized Users
- Their access to the Services
- Their actions and communications
- Their uploaded information
- Their compliance with these Terms
- Their use of Customer Data, automation, and communications functionality
- Their compliance with applicable law
The Customer must not knowingly permit unauthorized individuals to access its account, and is responsible for configuring appropriate permissions and access controls.
Remiliux is not responsible for actions taken by Authorized Users with permissions granted by the Customer.
Account Registration and Security
Certain Services require registration. You agree to:
- Provide and maintain accurate information
- Maintain the confidentiality of your credentials
- Use reasonable security practices
- Not share credentials except where expressly permitted
- Promptly notify Remiliux of unauthorized access
- Cooperate with reasonable security investigations
You may not:
- Create accounts using false identities
- Impersonate another person or business
- Use another person’s credentials
- Create accounts to circumvent suspension or restrictions
- Create accounts for fraudulent purposes
- Provide misleading business information
Remiliux may require additional information to verify an account, organization, identity, or Marketplace eligibility.
Description of the Services
Remiliux is a technology platform designed to help businesses manage real-estate-related activities. Depending on the plan and features available, Services may include:
- CRM, lead, contact, buyer, seller, and property management
- Acquisition and disposition workflows, pipeline management, tasks
- Calendar, scheduling, and communications (email, SMS, telecommunications integrations)
- Automation and SmartFlow functionality
- AI functionality, reporting, and analytics
- Team management and role-based permissions
- Marketplace functionality, Buy Boxes, buyer profiles, listings, matching, and verification
- Transaction-status tracking, third-party integrations, and APIs
- Data imports and exports, and other functionality introduced from time to time
Features may vary by subscription plan. Remiliux may add, modify, replace, suspend, restrict, or discontinue features at any time, subject to applicable law and any express contractual obligations. No particular feature or integration is guaranteed to remain available indefinitely.
Remiliux Is a Technology Provider
Remiliux is a software and technology provider. Remiliux is not a real estate broker, agent, wholesaler, buyer, seller, lender, mortgage broker, title company, escrow company, closing company, attorney, accountant, tax advisor, investment advisor, financial advisor, fiduciary, or transaction party.
No Professional Advice
Information provided through the Services is for general informational and technology purposes only. Remiliux does not provide legal, tax, accounting, investment, financial, brokerage, real estate licensing, securities, or other professional advice.
You are solely responsible for obtaining professional advice appropriate to your circumstances.
Marketplace
Where enabled, the Remiliux Marketplace is a technology environment intended to help approved users discover and communicate regarding real-estate opportunities and potential business relationships, including listings, buyer profiles, seller information, Buy Boxes, investment criteria, matching, offers, communications, transaction-status tracking, and verification indicators.
The Marketplace may be unavailable, restricted, limited, or modified depending on the Remiliux product configuration. Remiliux does not guarantee that Marketplace functionality will be available to every user.
Marketplace Participants Are Independent Parties
Marketplace participants are independent third parties. Remiliux does not act as a broker, intermediary, fiduciary, agent, transaction representative, buyer, seller, or party to transactions between Marketplace users.
Any transaction, agreement, offer, assignment, purchase, sale, investment, or other business relationship between users is solely between the applicable parties. Remiliux does not control the conduct of Marketplace users.
Marketplace Verification
Remiliux may establish verification procedures, which may involve identity information, company information, business registration, business history, investment history, proof of funds, references, public records, documentation, professional information, and other information reasonably necessary for verification.
Remiliux may use third-party verification providers, and may approve, deny, suspend, restrict, or revoke Marketplace access in its reasonable discretion, subject to applicable law.
Verification Disclaimer
A “Verified” designation means only that the account has passed Remiliux’s applicable verification process. Verification does not guarantee identity, ownership, financial capacity, available funds, creditworthiness, licensing, reputation, legitimacy, intentions, solvency, ability to close, willingness to perform, contractual compliance, transaction completion, or future conduct.
Marketplace Listings
Users may be permitted to submit listings. Remiliux may review, request documentation for, approve, reject, modify the formatting of, limit visibility of, remove, suspend, or restrict listings, or take other reasonable actions necessary to protect the Marketplace. Remiliux does not guarantee publication of any listing.
Remiliux may remove or restrict a listing if it reasonably believes the listing is inaccurate, misleading, fraudulent, violates law or these Terms or Marketplace Rules, infringes rights, was submitted without appropriate authority, creates security or legal risk, or threatens Marketplace integrity.
Listing Accuracy
The user submitting a listing is solely responsible for its accuracy, completeness, legality, and authorization. Information may include property address, purchase and asking price, assignment price, ARV, repair estimates, property condition, photos, videos, rent estimates, occupancy, ownership, title information, liens, taxes, contract information, assignment rights, seller authority, closing information, financial projections, and other representations.
Users must not knowingly submit materially false or misleading information. Remiliux does not independently verify every Marketplace representation.
User Due Diligence
Users are solely responsible for performing due diligence before relying on Marketplace information or entering a transaction, including verification of ownership, seller authority, title, liens, taxes, contracts, assignment rights, property condition, inspections, ARV, repair estimates, zoning, permitted use, financing, occupancy, closing requirements, licensing, counterparty identity, and applicable law.
No information presented by Remiliux should be treated as independently verified unless Remiliux expressly states otherwise in writing.
Transactions and Deal Status
Remiliux may allow users to track statuses such as Interested, Contacted, Offer Submitted, Under Contract, Closed, Dead, or other custom statuses. These statuses are informational only and do not constitute certification, verification, endorsement, legal or financial confirmation, or a guarantee by Remiliux.
Remiliux is not responsible for whether a transaction closes, funds, performs, or produces a profit.
No Guarantee of Opportunities
Remiliux does not guarantee any property, buyer, seller, listing, investment, offer, financing, return, profit, transaction, closing, user performance, availability, or particular business result.
Marketplace Communications
Remiliux may provide communication tools. Users are solely responsible for communications they send. Obtaining a contact through Remiliux does not automatically establish consent to receive telephone calls, SMS, MMS, email, automated communications, marketing communications, or other solicitations.
The contacting user is solely responsible for determining whether the communication is lawful, and must comply with all applicable telemarketing laws, telephone consumer protection laws, do-not-call requirements, SMS and email requirements, consent requirements, carrier requirements, privacy laws, and marketing regulations.
Remiliux does not guarantee that any phone number, email address, or other contact information is legally eligible for solicitation.
CRM Services
The Remiliux CRM allows customers to manage business information, contacts, leads, properties, transactions, communications, tasks, workflows, and other business processes.
Customers are solely responsible for information entered or imported into the CRM, contact lists, lead sources, communications, automations, workflows, SmartFlow configurations, user permissions, compliance obligations, and actions taken using CRM functionality.
Remiliux does not independently determine whether a customer’s CRM activities comply with applicable law.
Automation and SmartFlow
Remiliux may provide workflow automation, including SmartFlow or similar functionality, which may send communications, create tasks, update records, move leads, trigger workflows, generate content, schedule actions, process data, assign records, or perform other automated operations.
You are solely responsible for configuring automation appropriately, and acknowledge that automated actions may occur without manual review immediately before each individual action. You must ensure that automation is legally permitted, required consents have been obtained, contact information is accurate, opt-out and do-not-contact requests are honored, message content and frequency are appropriate, and your use of automation complies with applicable law.
Customer Data
As between Remiliux and the Customer, the Customer retains ownership rights in Customer Data, which may include leads, contacts, buyers, sellers, companies, properties, documents, notes, tasks, communications, call and email records, transaction information, custom fields, workflow information, and other submitted information.
The Customer grants Remiliux a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, display, format, back up, secure, and otherwise use Customer Data as reasonably necessary to provide the Services, operate the CRM, execute requested workflows and automation, maintain security, prevent fraud, troubleshoot, improve reliability, perform backups, comply with law, and enforce these Terms.
This license does not transfer ownership of Customer Data to Remiliux.
Customer Responsibility for Data
Customers represent and warrant that they have the rights, permissions, and lawful basis necessary to submit and process Customer Data through Remiliux, and are responsible for obtaining required consents, providing required privacy notices, honoring data-subject rights, maintaining appropriate records, complying with applicable privacy laws, ensuring imported data was lawfully obtained, ensuring communications are lawful, and responding to requests concerning individuals whose information they control.
Remiliux does not guarantee that a Customer’s particular use of Customer Data complies with applicable law.
User Content
Users retain ownership of User Content to the extent they possess ownership rights.
By submitting User Content, you grant Remiliux a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, format, distribute within the Services, back up, secure, and otherwise use the content as reasonably necessary to provide and operate the Services. For Marketplace Content, this license additionally permits Remiliux to make the content available to authorized Marketplace participants according to Marketplace functionality.
User Representations
By submitting User Content, you represent and warrant that:
- You own or control the necessary rights and have authority to submit the content
- The content is not knowingly fraudulent
- The content does not knowingly infringe third-party rights
- You have obtained required permissions
- The content does not knowingly violate applicable law
- The content does not contain malicious software
- You are authorized to process personal information included in the content
- Your submission does not violate a contractual or legal obligation
Confidential and Sensitive Information
Users should exercise caution before uploading confidential or highly sensitive information. Unless expressly supported by a specific Remiliux feature or written agreement, users should not upload passwords, private encryption keys, authentication codes, unnecessary financial credentials, unnecessary government identification numbers, payment-card information, or other highly sensitive credentials.
Users remain responsible for determining what information is appropriate to upload.
Marketplace Data Restrictions
You may not scrape Marketplace content, crawl the Marketplace using unauthorized bots, harvest contact information, systematically extract listings, bulk download Marketplace information, republish or resell Marketplace data, build a competing database using Marketplace information, circumvent access restrictions, reverse engineer Marketplace matching, or otherwise commercially exploit Marketplace information without authorization.
Remiliux may use technical measures to detect and prevent unauthorized extraction.
Prohibited Activities
You may not use the Services to commit fraud; impersonate others or misrepresent identity; submit knowingly false information; facilitate illegal transactions; violate privacy rights or infringe intellectual property; upload malware; attempt unauthorized access or circumvent security; interfere with the Services; reverse engineer or scrape the Services except where legally permitted; harvest data; use unauthorized bots; circumvent account restrictions; manipulate verification or reviews; abuse or threaten other users; distribute unlawful content; facilitate unlawful communications; circumvent opt-out requests; send unlawful spam or conduct unauthorized automated messaging; build a competing service through unauthorized extraction; attack or overload the Services; introduce malicious code; test vulnerabilities without authorization; access another user’s account or sell access to an account without authorization; or engage in conduct reasonably likely to harm Remiliux or its users.
Artificial Intelligence Features
Remiliux may provide AI-powered features for drafting, summarization, classification, organization, recommendations, workflow automation, data processing, content generation, and productivity assistance.
AI output may be incorrect, incomplete, inaccurate, outdated, biased, inappropriate, or unsuitable for a particular purpose. You are solely responsible for reviewing AI output before relying upon, sending, publishing, or acting on it. AI output should not be treated as professional advice, and Remiliux does not guarantee its accuracy or completeness.
Third-party AI providers may process information as necessary to provide AI functionality. Remiliux will not knowingly use Customer Data to train publicly available general-purpose AI models without appropriate authorization or disclosure, except where otherwise permitted by applicable law or a separate agreement.
Third-Party Integrations
Remiliux may integrate with email, SMS, and telephone providers, calendar providers, payment processors, authentication services, cloud and AI providers, analytics providers, business software, data providers, and other third-party services. You authorize Remiliux to access information reasonably necessary to provide an integration you activate.
Third-party services remain independent of Remiliux. Remiliux does not guarantee the availability, accuracy, security, compatibility, performance, pricing, or continued support of any Third-Party Service.
Third-Party Terms
Your use of a Third-Party Service may be subject to that provider’s separate terms and policies. You are responsible for reviewing and complying with those terms.
A third-party provider’s failure, outage, policy change, API change, suspension, or termination does not constitute a breach by Remiliux.
Email, SMS, Telephone, and Communication Services
Where Remiliux provides or integrates communication functionality, you acknowledge that telecommunications and messaging services may be subject to carrier rules, registration and consent requirements, message-content restrictions, rate limits, spam controls, number reputation systems, do-not-call requirements, opt-out requirements, applicable federal and state laws, and third-party provider policies.
You are solely responsible for your communications, and must not use Remiliux to send unlawful, fraudulent, deceptive, abusive, or unauthorized communications. Remiliux may suspend communication functionality where necessary to protect users, carriers, third-party providers, or the Services.
Email and SMS Consent
Remiliux does not provide consent merely because a contact exists in a Customer’s CRM. Customers must independently establish and document the legal basis for communications, and must honor applicable STOP requests, unsubscribe requests, do-not-call requests, suppression lists, consent revocations, and communication preferences.
Remiliux may provide technical tools to assist with compliance but does not guarantee legal compliance.
User Reviews and Ratings
Where Remiliux permits reviews or ratings, users must provide honest and good-faith opinions based on actual experiences. Nothing in these Terms prohibits or penalizes a user from expressing an honest opinion about Remiliux or its Services.
Remiliux may remove content that is unlawful, fraudulent, threatening, abusive, discriminatory, irrelevant, impersonating another person, or otherwise violates applicable policy or law. Remiliux does not guarantee that every review is accurate.
Intellectual Property
The Services and Remiliux’s technology are owned by or licensed to CKII Holdings LLC, including software, source and object code, interfaces, designs, user interfaces, workflows, algorithms, matching systems, databases and database structures, documentation, branding, logos, trademarks, service marks, graphics, proprietary technology, non-user-generated platform content, and other intellectual property.
Except for rights expressly granted under these Terms, no ownership rights are transferred to you.
License to Use Remiliux
Subject to these Terms and payment of applicable fees, Remiliux grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for authorized business purposes during the applicable subscription period.
You may not copy, resell without authorization, sublicense, rent, or lease the Services; reverse engineer the Services except where legally permitted; extract source code; circumvent technical limitations; create unauthorized derivative works; reproduce proprietary platform functionality; or use unauthorized methods to develop a competing product.
Feedback
If you provide suggestions, ideas, recommendations, feature requests, or feedback regarding Remiliux, you grant CKII Holdings LLC a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, develop, distribute, and incorporate that feedback into the Services without compensation or attribution.
You are not required to provide feedback.
Subscriptions
Certain Services require payment. Plans may include monthly or annual subscriptions, usage-based charges, add-ons, Marketplace plans, enterprise plans, promotional plans, free trials, and other pricing structures.
The applicable price will be presented at the time of purchase or through the applicable pricing page. Prices may change for future billing periods subject to applicable law and required notice.
Pricing and Taxes
You are responsible for applicable taxes, duties, governmental charges, or similar amounts associated with your purchase, except taxes imposed on Remiliux’s net income.
Prices and mandatory charges applicable to a purchase will be disclosed before payment. Remiliux may correct pricing errors and may cancel affected orders where permitted by law.
Automatic Renewal
Unless otherwise stated, subscriptions may automatically renew for successive billing periods. By purchasing an automatically renewing subscription, you authorize the applicable payment provider to charge your selected payment method.
You are responsible for maintaining accurate billing information. If you do not wish to renew, you must cancel before the applicable renewal date.
Cancellation
You may cancel your subscription through the applicable account settings or cancellation process. Unless otherwise stated, cancellation prevents future renewal, your subscription generally remains active through the end of the current paid period, and cancellation does not automatically create a refund for unused subscription time.
Nothing in this section limits mandatory cancellation or refund rights under applicable law.
Refunds
Unless otherwise stated in your applicable subscription terms, payments are generally non-refundable after the applicable billing period begins.
Refund requests may be considered based on billing errors, duplicate charges, material technical failures, applicable law, specific promotional terms, or other circumstances determined by Remiliux.
Nothing in these Terms eliminates any non-waivable refund rights provided by law.
Payment Failures and Chargebacks
If a payment fails, Remiliux may retry the payment, restrict features, suspend the account, suspend Marketplace access or communication functionality, or terminate the subscription.
You agree not to initiate a fraudulent or improper chargeback. If you believe a charge is incorrect, you should contact Remiliux before initiating a chargeback where reasonably possible. Nothing prevents you from exercising legitimate rights provided by applicable law.
Free Trials and Promotions
If Remiliux provides a free trial or promotional offer, additional terms may apply, eligibility may be limited, Remiliux may modify or terminate the promotion, a payment method may be required, and the subscription may convert to a paid subscription if disclosed at signup.
Promotional offers may not be combined unless expressly stated.
Account Suspension
Remiliux may suspend or restrict access where reasonably necessary to protect security, prevent fraud, investigate abuse, protect users, enforce these Terms or Marketplace Rules, comply with law, prevent unauthorized access, protect Remiliux property, address payment issues, or prevent material harm. Where appropriate, Remiliux may suspend only certain functionality rather than the entire account.
Immediate Suspension
Remiliux may take immediate action without prior notice where reasonably necessary to address security threats, fraud, unauthorized access, malware, illegal activity, significant Marketplace abuse, data scraping, threats against users, material service or telecommunications abuse, payment fraud, or material harm to Remiliux.
Where appropriate, Remiliux may provide an opportunity to appeal or contact support.
Termination
Either party may terminate a subscription as permitted by these Terms.
Remiliux may terminate an account where you materially breach these Terms, engage in fraud, abuse the Services, violate applicable law, repeatedly violate policies, create material security risk, fail to pay applicable fees, misuse Marketplace information, or where continued access creates material risk to Remiliux or its users.
Effect of Termination
Upon termination, access may cease, Marketplace access may cease immediately, listings may be removed, credentials may be disabled, automated workflows and integrations may stop, certain data may be retained or deleted, and provisions intended to survive termination will remain effective.
Remiliux may retain information where reasonably necessary for legal compliance, security, fraud prevention, dispute resolution, backup, accounting, tax purposes, enforcement of agreements, or other legitimate business purposes.
Data Export
Where technically supported, Remiliux may provide tools allowing Customers to export certain Customer Data. Customers are responsible for exporting data before termination if they require continued access to it. Remiliux does not guarantee that every type of data, historical record, integration record, or system-generated information will be exportable in every format.
Data Deletion
Following termination, Remiliux may delete Customer Data in accordance with its retention practices, applicable agreements, and Privacy Policy. Certain information may remain in backups or archives for a reasonable period.
Remiliux is not required to maintain indefinitely a terminated account or its data unless required by law or separate written agreement.
Security
Remiliux uses commercially reasonable safeguards designed to protect the Services, including encryption, HTTPS, authentication controls, role-based access, logging, monitoring, backups, security updates, infrastructure controls, access restrictions, and fraud detection.
Security Incidents
If Remiliux determines that a security incident involving Customer Data requires notification under applicable law, Remiliux will provide notice as required by applicable law.
Customers must promptly notify Remiliux if they discover unauthorized access, credential compromise, suspicious activity, security vulnerabilities, or unauthorized use of their account.
Privacy
Remiliux’s collection and use of personal information is governed by the Remiliux Privacy Policy, which is incorporated into these Terms by reference. Customers remain responsible for determining whether their use of Remiliux complies with privacy and data-protection laws applicable to their activities.
Cookies
The use of cookies and similar technologies is governed by the Remiliux Cookie Policy, which is incorporated into these Terms by reference.
Electronic Communications
By using the Services, you consent to receive electronic communications necessary to administer your account and provide the Services, including account, security, billing, and verification notices, service announcements, support communications, Marketplace notifications, transaction notifications, and other operational communications.
Marketing communications will be handled according to applicable law and available preference mechanisms.
Third-Party Websites
The Services may contain links to third-party websites. Remiliux does not control those websites and is not responsible for their content, privacy practices, security, availability, accuracy, terms, products, or transactions conducted through them.
Your use of third-party websites is governed by their applicable terms and policies.
API and Automated Access
If Remiliux provides an API, API keys, developer tools, webhooks, or similar functionality, you must use them only according to applicable documentation and limits.
You may not abuse API resources, circumvent rate limits, reverse engineer undocumented endpoints, extract proprietary data, share API credentials improperly, use API access to circumvent account restrictions, conduct denial-of-service activity, or use APIs to build unauthorized competing services. Remiliux may revoke API access where reasonably necessary.
Beta and Experimental Features
Remiliux may offer beta, preview, experimental, or early-access features. Such features may contain errors, change without notice, be discontinued, have limited functionality, lack complete documentation, or not be supported at the same level as production Services. Beta features are provided on an “AS IS” basis to the maximum extent permitted by law.
Disclaimers Regarding Data
Remiliux may process or display information obtained from users, customers, third-party integrations, public sources, data providers, AI systems, or other sources. Remiliux does not guarantee that such information is accurate, complete, current, reliable, legally sufficient, suitable for a particular purpose, or independently verified.
Disclaimer of Warranties
Remiliux does not warrant that the Services will always be available or uninterrupted, that errors will be corrected, that data or Marketplace information will always be accurate, that users will perform as represented, that transactions will close, that AI output will be accurate, that integrations or telecommunications services will remain available, or that security vulnerabilities will never occur.
Nothing in these Terms excludes a warranty that cannot legally be excluded.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CKII HOLDINGS LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS ACTUALLY PAID BY YOU TO CKII HOLDINGS LLC FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
This limitation does not apply to liability that cannot legally be limited or excluded.
Marketplace and Third-Party Conduct
CKII Holdings LLC is not responsible for acts or omissions of Marketplace participants. You acknowledge that Remiliux does not control buyer or seller behavior, property ownership, contract or payment performance, closing performance, user representations or communications, third-party services, financing, or transaction outcomes.
Any transaction between users is solely between those users.
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CKII Holdings LLC and its members, managers, officers, directors, employees, contractors, affiliates, agents, service providers, licensors, and representatives from and against claims, demands, actions, damages, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising out of or relating to your use of the Services, your account and Authorized Users, your Customer Data and User Content, your Marketplace listings and communications, your use of automation and AI-generated content, your transactions, your violation of these Terms or applicable law, your infringement or misappropriation of third-party rights, your fraud, negligence, or intentional misconduct, your misuse of Marketplace information, your breach of representations or warranties, or claims arising from your business activities.
CKII Holdings LLC may assume exclusive control of the defense of a matter subject to indemnification. You agree to cooperate reasonably with the defense, and may not settle an indemnified claim in a manner that imposes liability, admission of wrongdoing, or obligation on CKII Holdings LLC without its prior written consent.
Force Majeure
CKII Holdings LLC will not be liable for delay, interruption, or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, government action, internet or telecommunications outages, cloud provider failures, power outages, cyberattacks, labor disruptions, infrastructure failures, third-party service failures, public health emergencies, or other events beyond reasonable control.
Copyright and Intellectual Property Claims
If you believe content available through Remiliux infringes your copyright or other intellectual property rights, you may contact Remiliux with information reasonably sufficient to identify the protected work, the allegedly infringing material, your contact information, your good-faith basis for the claim, and your authority to act on behalf of the rights holder.
Remiliux may remove or restrict allegedly infringing material where appropriate. False or abusive intellectual-property claims may result in account restrictions.
Compliance with Laws
You are solely responsible for complying with laws applicable to your activities, which may include laws relating to real estate, brokerage, wholesaling, assignments, advertising, consumer protection, privacy, data protection, telephone/SMS/email communications, marketing, do-not-call requirements, consent, securities, financing, taxes, fair housing, anti-fraud requirements, and licensing. Remiliux does not determine whether your activities require a license, registration, disclosure, consent, or other regulatory approval.
Export Controls and Sanctions
You may not use the Services in violation of applicable export-control, sanctions, or trade laws. You represent that you are not prohibited from using the Services under applicable law.
Remiliux may restrict access where necessary to comply with applicable sanctions, export controls, or other legal obligations.
Government and Law Enforcement Requests
Remiliux may disclose information when reasonably necessary to comply with subpoenas, court orders, warrants, government requests, regulatory requirements, legal processes, or applicable law. Where legally permitted, Remiliux may notify affected users of certain requests.
Changes to the Services
Remiliux may modify, add, remove, or change features and interfaces, integrations, APIs, Marketplace functionality, verification and matching systems, or automation functionality, and may suspend or discontinue Services. Remiliux will not be liable solely because a feature or Service changes or is discontinued, except where prohibited by law or expressly required by a separate written agreement.
Changes to These Terms
Remiliux may update these Terms from time to time. When changes are made, the Last Updated date may be revised. For material changes, Remiliux may provide additional notice where appropriate.
Unless otherwise required by law, updated Terms become effective when posted or on the stated effective date. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services.
Assignment
You may not assign or transfer these Terms without CKII Holdings LLC’s prior written consent, except where applicable law permits otherwise.
CKII Holdings LLC may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, financing, reorganization, sale of the Services, or transfer of substantially all applicable business assets.
No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later. A waiver must be express and applicable to the specific circumstance for which it is given.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective. The invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, where legally permissible.
Entire Agreement
These Terms, together with the Remiliux Privacy Policy, Cookie Policy, Marketplace Rules, subscription terms, order forms, written agreements, applicable feature-specific terms, and documents expressly incorporated by reference, constitute the entire agreement between you and CKII Holdings LLC regarding the Services, unless a separate written agreement expressly supersedes these Terms.
Electronic Contracting
You agree that electronic acceptance of these Terms constitutes your legally binding acceptance. Electronic records, electronic signatures, acceptance buttons, checkboxes, and account records may be used to establish acceptance.
Where affirmative acceptance is required, Remiliux may require you to affirmatively click an acceptance button or checkbox. You agree that electronic communications and records satisfy applicable legal requirements for written communications to the extent permitted by law.
Dispute Resolution — Informal Resolution
Before initiating arbitration or litigation, the parties agree to attempt in good faith to resolve a dispute informally. A party seeking to raise a dispute should provide written notice describing the nature of the dispute, the relevant facts, the requested resolution, and contact information for further communication.
The parties will attempt to resolve the dispute for at least thirty (30) days after receipt of the notice before initiating formal proceedings, except where emergency or injunctive relief is reasonably necessary to protect intellectual property, confidential information, account security, data, the Services, or against unauthorized access.
Binding Arbitration
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your account, your subscription, Marketplace participation, your relationship with CKII Holdings LLC, or any transaction directly between you and CKII Holdings LLC will be resolved by binding individual arbitration, rather than in court, except for matters expressly excluded below.
The arbitration will be administered by a recognized arbitration provider under its applicable commercial arbitration rules, unless the parties agree otherwise. The arbitrator will have authority to award the same individual remedies that a court could award under applicable law, and may not award relief affecting individuals who are not parties to the arbitration.
Exceptions to Arbitration
Nothing in these Terms prevents either party from:
- Bringing an individual claim in small-claims court where legally available
- Seeking temporary, preliminary, or emergency injunctive relief
- Protecting intellectual property rights
- Protecting confidential information
- Preventing unauthorized access to the Services
- Pursuing claims that cannot legally be subject to arbitration
Class Action Waiver
Unless applicable law prohibits such waiver, the arbitrator may not combine claims of multiple persons or preside over any representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed only to the extent required by applicable law.
Arbitration Location and Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
To the extent permitted by applicable law, arbitration will be conducted remotely or in Wyoming, as determined under the applicable arbitration rules and circumstances of the dispute. Nothing in this section prevents enforcement of an arbitration award in any court of competent jurisdiction.
Venue for Non-Arbitrable Matters
For disputes that are not subject to arbitration, the parties consent, to the maximum extent permitted by law, to the jurisdiction of courts located in Wyoming. Nothing in this provision limits any mandatory venue or jurisdiction rights that cannot legally be waived.
Limitation on Claims
To the maximum extent permitted by law, any claim arising out of or relating to the Services or these Terms must be commenced within one (1) year after the event giving rise to the claim. If applicable law prohibits contractual shortening of a limitations period, the applicable statutory period will control.
Survival
The provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, Customer Data, User Content, confidentiality, Marketplace restrictions, disclaimers, limitations of liability, indemnification, dispute resolution, arbitration, class-action waiver, governing law, payment obligations, and other provisions intended to survive.

Remiliux may provide notices through email, in-platform notifications, account notices, website notices, billing communications, or other reasonable electronic methods. You are responsible for maintaining accurate contact information.

User Acknowledgment
By accessing or using the Remiliux Services, you acknowledge that:
- You have read and understood these Terms and agree to be legally bound by them
- You are at least eighteen (18) years old and have authority to enter into these Terms
- Remiliux is a software and technology platform, not a real estate broker, agent, investment advisor, attorney, lender, title company, escrow company, or transaction party
- Marketplace participants are independent third parties, and Marketplace information may be provided by users
- You are responsible for your own due diligence — verification does not guarantee the identity, financial capacity, legitimacy, or performance of any user
- You are responsible for your Customer Data, communications, automations, and SmartFlow configurations
- You are responsible for complying with applicable law
- AI-generated information may be inaccurate and must be reviewed
- Third-party services are outside Remiliux’s control
- Transactions between Marketplace users are solely between those users, and Remiliux does not guarantee transaction outcomes
- The Services are provided subject to the disclaimers and limitations of liability set forth above
- Where required, you have expressly accepted these Terms through an affirmative electronic acceptance mechanism
Acceptance
By selecting “I Agree,” “Accept Terms,” “Create Account,” “Subscribe,” or another affirmative acceptance mechanism presented by Remiliux, or by otherwise using the Services where permitted by applicable law, you acknowledge that you have read, understood, and agree to these Terms of Service.
